4. Intellectual Property

Upon full payment, clients receive ownership of custom code and deliverables created specifically for their project, unless otherwise specified in a separate agreement. Kanopy Labs retains ownership of:

• Pre-existing tools, frameworks, and libraries
• General knowledge and methodologies
• Reusable components not specific to the client's project

5. Payment Terms

Payment terms are specified in individual project agreements. Generally:

• A deposit may be required before work begins
• Milestone payments may be structured throughout the project
• Final payment is due upon project completion
• Late payments may incur additional fees

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, technical specifications, and any other sensitive information disclosed during the project.

7. Limitation of Liability

To the maximum extent permitted by law, Kanopy Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from the use of our services.

8. Warranty Disclaimer

Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, error-free, or meet all of your specific requirements.

9. Termination

Either party may terminate a project agreement with written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. Any applicable refund policies will be outlined in individual project agreements.

10. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Kanopy Labs operates, without regard to conflict of law principles.
