1. Agreement to terms

By accessing or using Kanopy Labs' services, website, or any related products (the "Services"), you agree to be bound by these terms. If you do not agree, please do not use the Services.

2. What we do

Kanopy Labs provides software development, product design and consulting for businesses and individuals, including:

• Mobile application development for iOS and Android
• Web application development
• Backend and API development
• Product strategy and consulting
• UI and UX design

3. Client responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information needed to complete the project
• Respond to communications and feedback requests in a timely manner
• Make payments according to the agreed terms
• Respect intellectual property rights and confidentiality agreements
• Not use our services for any illegal or unauthorised purpose

4. Intellectual property

On full payment, you own the custom code and deliverables created for your project, unless a separate agreement says otherwise. Kanopy Labs keeps ownership of:

• Pre-existing tools, frameworks and libraries
• General knowledge and methodologies
• Reusable components that are not specific to your project

5. Payment terms

Payment terms are set in each project agreement. In general:

• A deposit may be required before work begins
• Milestone payments may be structured through the project
• Final payment is due on completion
• Late payments may incur additional fees

6. Confidentiality

Both parties agree to keep proprietary information shared during the engagement confidential, including business strategy, technical specifications and any other sensitive material.

7. Limitation of liability

To the maximum extent permitted by law, Kanopy Labs is not liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, data or business opportunities, arising from the use of our services.

8. Warranty disclaimer

Our services are provided as is, without warranties of any kind, express or implied. We do not guarantee that our services will be uninterrupted, error-free, or meet every specific requirement.

9. Termination

Either party may end a project agreement with written notice. On termination, the client pays for all work completed up to that date. Any refund terms are set in the individual project agreement.

10. Changes to these terms

We may update these terms at any time. Changes take effect when posted here. Continued use of our services after a change means you accept the updated terms.
