What Technical Due Diligence Actually Covers
Technical due diligence is the structured process by which an investor, acquirer, or strategic partner evaluates the technical health of your company before committing capital. It is not a casual code review. It is a forensic examination of everything your engineering team has built, how they built it, and whether it can support the growth the deal is predicated on.
Most founders encounter serious technical due diligence for the first time at Series A or Series B. At Seed, investors are largely betting on the team and the idea. By Series A, they want evidence that the technology actually works and scales. Acquisitions trigger the most rigorous version of this process regardless of stage, because the acquirer is inheriting your entire technical operation.
Who conducts it matters. Large strategic acquirers typically have in-house engineering teams run the review. Institutional VCs often hire specialist firms like Bain's technology practice, Code Climate, or boutique technical due diligence shops. Some investors bring in a trusted CTO-for-hire. In every case, the reviewers are experienced engineers who know exactly what corners startups cut and where the bodies are buried.
The scope typically covers five areas: code quality and architecture, infrastructure and scalability, security and compliance, team structure and engineering processes, and intellectual property ownership. The last item trips up more founders than you would expect. If contractors wrote core IP without proper assignment agreements in place, that becomes a legal and technical problem simultaneously.
The timeline is usually two to four weeks for a Series A-level review, longer for acquisitions involving complex systems. You will be asked to provide repository access, architecture diagrams, runbooks, incident history, and access to your team for interviews. Plan for it to be distracting. The best founders prepare proactively so the process does not derail normal operations.
Code Quality and Architecture Review
Reviewers will spend more time in your codebase than you might expect. They are not just skimming for obvious problems. They are evaluating whether the team thinks clearly, writes maintainably, and makes defensible architectural decisions. The output of that judgment significantly influences valuation adjustments and deal terms.
Code organization is the first signal. A well-structured repository tells a story: clear module boundaries, consistent naming conventions, and separation of concerns that reflects how the product actually works. When reviewers open a repo and find a single 4,000-line file named utils.js or a folder called misc, that is an immediate red flag about engineering discipline.
Design patterns and consistency matter more than the specific choices made. Reviewers do not penalize you for using a monolith over microservices or for choosing PostgreSQL over MongoDB. They penalize inconsistency: three different ways to handle authentication, five different patterns for API responses, no coherent strategy for error handling. Inconsistency signals a team that lacks shared standards and reviews each other's work infrequently.
Test coverage is scrutinized closely. Tools like Istanbul, Jest, or pytest-cov make coverage metrics easy to surface. Under 40% overall coverage raises concerns. More important than the number, though, is where the coverage exists. Tests concentrated only in utility functions while core business logic goes untested is worse than a lower aggregate number that covers the right things.
Dependency health is an area many founders overlook during preparation. Reviewers will run tools like npm audit, Snyk, or Dependabot to surface outdated and vulnerable packages. If you are running on a version of a core framework that reached end-of-life two years ago, expect pointed questions about your upgrade roadmap. Libraries with known critical CVEs that have been sitting unpatched for months are a serious finding.
Infrastructure and Scalability Assessment
Your infrastructure review answers one central question: can this system support 10x the current load without a complete rewrite? Investors are not expecting perfection. They are evaluating whether the foundation is sound enough to grow on and whether the team has thought clearly about the constraints they will hit.
Cloud setup gets examined in terms of architecture design, not just vendor choice. AWS, GCP, and Azure are all fine. What reviewers want to see is intentional use of those platforms: proper use of managed services, network segmentation, multi-region or at least multi-availability-zone deployments for anything customer-facing, and infrastructure defined as code using Terraform, Pulumi, or CloudFormation. Clicking through the AWS console to provision resources is a liability at scale.
Your deployment pipeline is a direct indicator of engineering maturity. A CI/CD setup using GitHub Actions, CircleCI, or GitLab CI that runs tests, performs static analysis, and deploys automatically to staging with a manual gate to production signals a team that ships reliably. The absence of automated deployment, or deployments that require a specific engineer to run a local script, introduces operational fragility that reviewers will note.
Monitoring and observability coverage matters more than founders typically anticipate. Reviewers want to see that you have application performance monitoring through tools like Datadog, New Relic, or Grafana, structured logging with searchable retention, and alerting that wakes someone up when things break. They will also look at your incident history. A clean incident log with documented post-mortems demonstrates a team that learns from failure. No incident history at all is sometimes more concerning because it suggests either low traffic or no visibility into problems.
Scaling headroom is assessed by looking at your current resource utilization and the architectural chokepoints. Reviewers will ask about your largest customers, your peak load events, and what breaks first when traffic spikes. Having clear answers, backed by load testing results from tools like k6 or Locust, signals engineering confidence.
Security and Compliance Audit
Security findings have derailed more deals than any other category of technical due diligence finding. A single critical vulnerability discovered during the process can lead to escrow holdbacks, price reductions, or investors walking away entirely. This is not an area where you want to be discovering problems for the first time during a funding review.
Automated vulnerability scanning is typically the first pass. Reviewers run tools like Snyk, OWASP ZAP, Semgrep, or Burp Suite against your application and infrastructure. The output surfaces known CVEs in your dependencies, common web application vulnerabilities like SQL injection and XSS, and misconfigured cloud resources. High and critical findings without documented remediation plans are immediate concerns.
Authentication and authorization implementation gets reviewed at the code level. Reviewers want to see industry-standard implementations: OAuth 2.0 or OIDC for third-party auth, proper JWT validation, bcrypt or Argon2 for password hashing, and role-based access control that actually enforces permissions at the data layer rather than just hiding UI elements. Rolling your own crypto is a significant red flag regardless of how clever the implementation is.
Data protection practices cover how you handle customer data at rest and in transit. Encryption at rest for sensitive fields using AES-256, TLS 1.2 or higher enforced across all endpoints, and clear data retention and deletion policies are baseline expectations. If you process payment data, reviewers will ask about PCI DSS scope. Healthcare data triggers HIPAA questions. Any EU customer data surfaces GDPR compliance questions.
SOC 2 compliance is increasingly expected for B2B SaaS at Series A and above. If you have a Type II report, that significantly reduces the burden on the security portion of due diligence. If you do not, expect detailed questions about your security controls and a likely covenant in the term sheet requiring you to achieve SOC 2 within 12 months of close. Starting that process early removes it as a deal risk entirely.
Team and Process Evaluation
Technical due diligence is not just a code review. It is also a team review. Investors are buying into the people who will continue building the product, and they want confidence that those people work well together, maintain high standards, and are not about to leave.
Engineering team structure gets evaluated in terms of seniority balance, specialization, and retention. A team of three engineers where two are junior and one is mid-level might be fine for your current stage, but reviewers will model whether that team can execute the technical roadmap implied by the funding ask. Attrition history matters: if you have turned over your entire engineering team in the last 18 months, expect direct questions about culture, compensation, and leadership.
Development practices signal discipline. Reviewers will look at your pull request history, not the code itself, but the process around it. Are PRs small and focused or massive? Do they have descriptions explaining why the change was made? Do they receive substantive code review from peers before merging? A commit history full of direct pushes to main without review is a process red flag regardless of whether the code quality is acceptable.
Documentation coverage covers both external and internal documentation. API documentation using OpenAPI or Postman collections, architecture decision records capturing why major choices were made, and runbooks for common operational tasks all demonstrate a team that thinks beyond the immediate build. The absence of documentation forces reviewers to assume institutional knowledge lives entirely in the heads of individual engineers, which is a retention risk.
Bus factor gets assessed directly. If your entire authentication system was designed and built by one engineer who recently left, and nobody else fully understands it, that is a single point of failure in your team. Reviewers will probe for areas where critical knowledge is concentrated in one person and will factor that risk into their findings. The mitigation is not just documentation; it is pairing practices and knowledge transfer as part of normal engineering operations.
Common Red Flags That Kill Deals
After reviewing hundreds of startup codebases, technical due diligence teams have a well-developed pattern library for what indicates a fundamentally unhealthy engineering operation. Some findings are remediable and get addressed via covenants in the deal terms. Others are serious enough to kill the deal or trigger significant price reductions. Here are the ones that come up most often.
No automated tests. A production codebase with no test suite is not a startup moving fast. It is a codebase where every change carries unknown risk and where refactoring is essentially impossible without breaking things. Reviewers interpret zero test coverage as evidence that the team either does not understand engineering fundamentals or has been moving so fast that quality was never a consideration. Neither interpretation is reassuring.
Single points of failure in infrastructure. A single database instance with no replication, a deployment process that only one engineer can run, an API that has no rate limiting or circuit breakers: each of these is a time bomb. Investors are about to fund growth that will stress every system you have. They want evidence that the system can absorb that stress without catastrophic failure.
No CI/CD pipeline. Manual deployments are slow, error-prone, and do not scale. If shipping a release requires someone to run a script from their laptop, that is a process problem that will compound as the team grows. Every serious engineering organization automates this, and its absence signals that engineering maturity has not been a priority.
Hardcoded secrets in the repository. API keys, database passwords, and AWS credentials committed directly to source control are a critical security finding. Even if the offending commits are removed, the secrets may already be exposed. Tools like git-secrets or TruffleHog will surface this instantly. Rotate everything and implement secrets management via AWS Secrets Manager, HashiCorp Vault, or a similar solution before any review begins.
Deep vendor lock-in without strategy. Being fully committed to one cloud provider is not inherently a problem. Being built on a single vendor's proprietary services in a way that makes migration prohibitively expensive, with no documented awareness of that risk, signals that the team has not thought strategically about platform dependencies.
How to Prepare Before Investors Come Knocking
The founders who navigate technical due diligence most smoothly are the ones who treat it as a continuous practice rather than a reactive scramble. If you know a fundraise or acquisition is on the horizon within 12 to 18 months, start preparing now. The cost of addressing technical debt on your own timeline is a fraction of the cost of addressing it under investor scrutiny.
Start with a proactive internal audit. Run the same tools a reviewer would use: SonarQube or CodeClimate for code quality, Snyk for dependency vulnerabilities, and your cloud provider's security posture management tools for infrastructure. Build a prioritized list of findings and work through it systematically in the quarters before your raise. Addressing a high-severity security finding quietly over two sprints is far better than explaining it to an investor's technical reviewer.
Invest in technical debt reduction with intentionality. Not all debt needs to be paid down before a raise. Prioritize the debt that reviewers will interpret as existential risk: missing test coverage on core business logic, absence of CI/CD, unpatched critical CVEs, and any known architectural decisions that would require a complete rewrite to scale. Lower-priority debt can be documented with honest remediation timelines, which actually demonstrates engineering maturity rather than hiding it.
Documentation is one of the highest-return investments you can make before a technical review. An architecture diagram that explains how your system components interact, a runbook for your deployment process, and a written explanation of your most significant technical decisions communicate to reviewers that the team is thoughtful. You do not need elaborate documentation tools. A well-maintained Notion or Confluence space with current, accurate content is more valuable than an elaborate documentation system that nobody updates.
Prepare your team for the interview component. Reviewers will speak directly with your engineers, not just review the code. Brief your team on what to expect, encourage honest answers about known weaknesses paired with remediation context, and ensure that at least two people can speak confidently to every critical system. The goal is not to hide problems. It is to demonstrate that you understand your own system clearly.
The Due Diligence Report: What to Expect
When the technical due diligence review concludes, the reviewer delivers a written report to the investor or acquirer. As a founder, you will typically receive a copy or at minimum a summary of findings, often accompanied by a call to discuss. Understanding how to interpret and respond to that report is as important as the preparation work that preceded it.
Reports typically categorize findings by severity: critical, high, medium, and low. Critical findings are those that represent immediate risk to the business, such as exploitable security vulnerabilities, data that is not being retained in compliance with regulations your customers expect you to follow, or architectural constraints that would prevent scaling beyond your current user base without a multi-month rewrite. These findings require a credible remediation plan and timeline, not defensive explanations.
High and medium findings are common even in well-prepared codebases. Reviewers are thorough and their standards are high. A report with a mix of medium findings and a clean critical/high section is a good outcome for most startups. Investors understand that early-stage companies make tradeoffs. What they are evaluating is whether the tradeoffs were deliberate and whether the team has the competence to address them.
Remediation timelines are often negotiated into the deal structure. You might see a covenant requiring certain security certifications within a defined period, a milestone tied to tranche release that requires demonstrating CI/CD implementation, or an escrow holdback contingent on addressing specific findings. Approach these not as punitive conditions but as aligned incentives. The investor wants the same healthy technical foundation you should want.
How you respond in the debrief conversation matters as much as the report itself. Founders who respond to findings defensively, minimize legitimate concerns, or blame individual team members come across poorly. The founders who impress investors in this conversation acknowledge findings directly, provide context where it is relevant, and present a clear-eyed remediation plan. That response demonstrates leadership maturity, which is ultimately what investors are betting on.
