Why Technical Due Diligence Matters More Than Ever
Five years ago, a charming pitch deck and strong revenue growth could carry you through a Series A without much scrutiny of your codebase. That era is over. According to recent data from Bain Capital Ventures and Bessemer, roughly 70% of institutional investors now require some form of technical due diligence before writing a check at Series A or above. The bar keeps rising because investors got burned funding companies with impressive demos built on architectures that could not survive their next growth phase.
The shift is driven by a simple reality: rebuilding broken foundations is expensive and slow. When a company raises $8M at Series A and then spends 18 months rewriting core systems instead of shipping features, that destroys value for everyone at the table. Investors learned this the hard way throughout 2021 and 2022 when dozens of portfolio companies hit scaling walls shortly after close. Now they verify before they wire.
What does this mean for you as a founder? It means your codebase is part of your pitch, whether you like it or not. The good news: you do not need a perfect codebase. Reviewers know startups cut corners. They are looking for evidence that you understand your technical debt, have a credible plan to address it, and have not created any deal-killing landmines in your architecture, security, or IP ownership. The difference between "needs work" and "deal-killer" is preparation.
Most founders learn about a TDD requirement 4 to 8 weeks before it begins. That is actually enough time to make meaningful improvements if you know where to focus. The rest of this guide is a practical sprint plan for getting your codebase from "embarrassing" to "investor-ready" in that window. The TDD Checklist: What Reviewers Actually Examine
Before you start fixing things, you need to understand what the reviewer is looking for. Technical due diligence firms like Bain's technology practice, CrossLend, or boutique shops like the ones we describe in our TDD guide follow a structured rubric. Knowing the rubric lets you prioritize ruthlessly instead of boiling the ocean.
Architecture and design decisions. Reviewers examine whether your system architecture matches your business requirements and growth trajectory. They want to see clear module boundaries, consistent patterns, and evidence that you made intentional tradeoffs rather than just shipping whatever was fastest. A monolith is fine at your stage. A monolith with zero separation of concerns, circular dependencies, and business logic sprayed across 400 files is not.
Code quality and maintainability. They will pull metrics from tools like SonarQube or CodeClimate: cyclomatic complexity, code duplication percentages, function length distributions, and consistency of style. They read code manually too, sampling 10 to 20 files across different modules to assess readability and craftsmanship. The question they are answering: can a new engineer join this team and become productive within two weeks?
Security posture. This is where deals die. Reviewers run automated scanners (Snyk, OWASP ZAP, Semgrep) and manually review authentication flows, data handling, and access controls. Hardcoded secrets in git history, unpatched critical CVEs, and broken authentication are all findings that can reduce your valuation or kill a deal outright.
Scalability and infrastructure. Can your system handle 10x current load without a rewrite? They examine your database design, caching strategy, async processing, and infrastructure automation. They want to see Terraform or Pulumi, CI/CD pipelines, monitoring dashboards, and evidence you have thought about what breaks first under load.
Team and process. How does work flow through your team? PR review practices, branching strategy, deployment frequency, incident response history. A team that deploys once a week with code review is healthier than one that deploys daily via YOLO pushes to main.
Intellectual property. Do you own your code? Contractor agreements with proper IP assignment, no GPL-licensed dependencies in proprietary products, clean commit history showing your team wrote the code. This is a legal and technical finding that can delay a close by months.
Code Quality Quick Wins: The First Week
The fastest way to improve your codebase's appearance and measurable quality is to address the low-hanging fruit that automated tools catch. This is not about impressing reviewers with clever code. It is about removing the noise that makes your codebase look neglected so reviewers can focus on your actual architecture decisions.
Set up linting and formatting, then enforce it. If you are running a TypeScript codebase, install ESLint with a strict config (the Airbnb or typescript-eslint recommended presets are solid starting points) and Prettier for formatting. Run them across your entire codebase and commit the results as a single "formatting standardization" commit. Yes, it will be a large diff. That is fine. Reviewers understand formatting commits. What they do not understand is inconsistent indentation and 47 different brace styles in a 50-file codebase.
Enable TypeScript strict mode. If you are already on TypeScript but running with strict disabled, turn it on and fix the errors. This typically surfaces 200 to 500 type errors in a mid-size codebase. Prioritize fixing them in your core business logic first, and use targeted // @ts-ignore comments with explanatory notes on legacy modules you plan to refactor later. Strict mode catches real bugs and signals engineering rigor to reviewers.
Remove dead code aggressively. Every codebase accumulates dead code: unused imports, commented-out blocks, deprecated modules that nobody deleted, feature flags for experiments that concluded months ago. Use tools like ts-prune for unused exports, knip for unused dependencies and files, or CodeClimate's duplication detection. Removing dead code is zero-risk and immediately improves your metrics. A codebase with 30% dead code looks unmaintained.
Fix your README. Reviewers clone your repo and the first thing they see is your README. If it says "TODO: add documentation" or references a setup process that no longer works, you have failed the first impression test. At minimum, your README should contain: what the project does, how to run it locally, how to run tests, and where to find architecture documentation. Fifteen minutes of writing saves you a negative first impression.
Run SonarQube or CodeClimate against your repo and look at the summary metrics. You want to see: code duplication under 5%, average function length under 30 lines, no critical or blocker issues. These tools cost $0 to $300/month depending on your plan and give you a clear punch list to work through. Aim to resolve all critical and high-severity findings before the review begins.
Testing: Minimum Viable Coverage That Passes Muster
Let me be direct: if your test coverage is below 40%, that will appear in the TDD report as a significant finding. If it is at 0%, expect a full paragraph about engineering risk. You do not need 95% coverage to pass due diligence, but you need to demonstrate that your team values testing and has covered the areas that matter most.
Target 60 to 80% coverage on core business logic. Aggregate coverage numbers are less important than where your tests live. A codebase with 50% overall coverage but 90% coverage on payment processing, user authentication, and core domain logic is far healthier than one with 70% overall coverage concentrated entirely in utility functions and UI components. Reviewers will look at coverage by module, not just the top-line number.
Prioritize what to test first. With limited time, focus your testing sprint on: (1) anything that handles money or billing, (2) authentication and authorization flows, (3) core business logic that differentiates your product, (4) data transformations and API endpoints that external systems depend on. These are the areas where bugs cause the most damage and where reviewers will check first.
Write integration tests, not just unit tests. A test suite composed entirely of unit tests with extensive mocking tells reviewers less than you think. They want to see tests that exercise real code paths: API endpoint tests that hit a test database, workflow tests that verify multi-step processes complete correctly, and at least a handful of end-to-end tests covering critical user journeys. Use tools like Playwright or Cypress for E2E, and Supertest or similar for API integration tests.
Add tests for your known bugs. If you have a bug tracker with open issues, write regression tests for any bugs you have fixed in the last 6 months. This demonstrates process maturity: you find bugs, you fix them, you write tests to prevent recurrence. That narrative is worth more than raw coverage numbers. It shows a team that learns and improves.
The real cost of skipping tests compounds over time. Reviewers know this, which is why testing coverage features prominently in every TDD report. If you cannot get to 60% in your preparation window, document your testing strategy and roadmap. Show the reviewer you have a plan, not just a gap.
Documentation That Actually Helps Your Case
Documentation is the area where five hours of effort produces the most dramatic improvement in how reviewers perceive your engineering maturity. Most startup codebases have essentially zero documentation. Just having the basics puts you ahead of 80% of companies going through TDD.
Architecture diagram. Create one clear diagram showing your system's major components, how they communicate, and where data flows. Use draw.io, Excalidraw, or Mermaid diagrams committed to your repo. Label your databases, message queues, third-party integrations, and any async processing. This diagram will be the first artifact reviewers reference throughout the process. It should take 2 to 3 hours to create if you know your system well.
API documentation. If you run an API (and you almost certainly do), generate documentation from your code using OpenAPI/Swagger, or at minimum provide a Postman collection that covers your core endpoints. Reviewers will test your APIs during the process. Undocumented endpoints that return unexpected errors look bad. Documented endpoints with clear request/response schemas look professional.
Deployment runbook. Document your deployment process step by step. How does code get from a developer's machine to production? What are the manual steps (if any)? What is the rollback procedure? How long does a deploy take? Who has production access? This runbook answers half the infrastructure questions reviewers ask. It should be 2 to 4 pages and live in your repository.
Decision records. Architecture Decision Records (ADRs) are short documents explaining why you made key technical choices. Why did you choose PostgreSQL over MongoDB? Why a monolith over microservices? Why this auth provider? You do not need 50 of these. Write 5 to 8 covering your biggest decisions. They demonstrate that your team thinks deliberately rather than just grabbing whatever tutorial they found first.
Onboarding guide. A document that describes how a new engineer sets up the project, understands the codebase structure, and ships their first PR. This signals to reviewers that your team can grow. If onboarding requires two weeks of pairing with the founding engineer because nothing is written down, that is an operational risk that will appear in the report.
Security Hygiene: Preventing Deal-Killing Findings
Security is where technical due diligence kills deals. A hardcoded AWS key in your git history, an unpatched critical CVE in a public-facing dependency, or a broken authentication bypass can each independently cause an investor to walk. The good news: most security issues that kill deals are fixable in days, not months. You just need to find them first.
Run dependency scanning immediately. Install Snyk or run npm audit / pip audit / bundle audit against your project today. Fix all critical and high-severity findings. For medium findings, create tickets and document your remediation timeline. Reviewers expect some medium findings in any real codebase. They do not expect unpatched criticals that have been sitting for 6 months.
Rotate every secret and scan your git history. Use tools like truffleHog, git-secrets, or GitHub's built-in secret scanning to find any credentials, API keys, or tokens that were ever committed to your repository, even if they were later removed. Git remembers everything. If you find exposed secrets, rotate them immediately and document the rotation. Consider using git filter-branch or BFG Repo-Cleaner to remove sensitive data from history if the exposure is severe.
Address the OWASP Top 10. Walk through the current OWASP Top 10 list and verify your application handles each category: broken access control, cryptographic failures, injection, insecure design, security misconfiguration, vulnerable components, identification failures, data integrity failures, logging failures, and server-side request forgery. You do not need to pass a formal penetration test, but you should be able to articulate how your application addresses each category.
Lock down access controls. Review who has access to production systems, databases, cloud consoles, and third-party services. Implement least-privilege access. Remove former employees and contractors. Enable MFA on all critical accounts. Document your access control policy. Reviewers will ask "who can access production data?" and you need a clear, defensible answer.
If your product handles sensitive data (healthcare, financial, personal information), proactively start your SOC 2 compliance journey. Even having SOC 2 Type I in progress signals maturity. The full Type II report takes 6 to 12 months, but evidence of the process underway satisfies most investor requirements at Series A.
Infrastructure Readiness: CI/CD, Monitoring, and Environments
Your infrastructure setup tells reviewers whether your team operates like professionals or like students running a side project. The difference often comes down to automation, observability, and having proper environments. These are not expensive to set up correctly, but many startups skip them in the rush to ship features.
CI/CD pipeline. At minimum, you need automated tests running on every pull request and automated deployment to at least one environment. GitHub Actions is the easiest starting point: a workflow that runs your linter, type checker, and test suite on every PR, then deploys to staging on merge to main. This costs nothing on GitHub's free tier for most startups and takes half a day to configure. If you are deploying by SSH-ing into a server and running git pull, fix that before TDD begins. It is the single most visible indicator of engineering immaturity.
Staging environment. You need at least one non-production environment that mirrors production closely enough to catch integration issues. Reviewers will ask about your testing and deployment workflow, and "we test in production" is not an acceptable answer at Series A. Your staging environment should use the same infrastructure-as-code templates as production, ideally just with smaller instance sizes. Terraform workspaces or separate Pulumi stacks make this straightforward.
Monitoring and alerting. Install Datadog, New Relic, or at minimum a combination of Sentry for error tracking and basic CloudWatch/GCP Monitoring for infrastructure metrics. You need to be able to answer: What is your error rate? What is your p95 response time? When was your last outage and how long did it take to detect? If you cannot answer these questions, you do not have monitoring. Budget $200 to $500/month for proper observability tooling. It pays for itself in reduced debugging time regardless of the fundraising process.
Backup and disaster recovery. Document your backup strategy. Automated database backups with tested restore procedures are baseline expectations. Reviewers will ask: How often do you back up? How long would it take to restore from backup? Have you ever tested a restore? "We use AWS RDS automated backups with 7-day retention and have tested restore within the last quarter" is a great answer. "I think backups are on" is not.
Infrastructure as code. If your cloud infrastructure was provisioned by clicking through the AWS console, you have a problem. Reviewers want to see Terraform, Pulumi, CloudFormation, or CDK defining your resources. This ensures reproducibility, enables disaster recovery, and proves your infrastructure is not dependent on one person's memory. Converting existing infrastructure to IaC takes 1 to 3 weeks depending on complexity, but even partial coverage is better than none.
The 4-6 Week Sprint Plan to Get TDD-Ready
You just got the term sheet and the investor mentioned technical due diligence will happen in 6 weeks. Here is how to allocate your time without halting feature development entirely. This plan assumes a team of 3 to 8 engineers and a codebase that has accumulated typical startup technical debt.
Week 1: Triage and quick wins. Run SonarQube and Snyk against your codebase. Fix all critical findings. Set up linting and formatting if missing. Remove dead code. Update your README. Rotate any exposed secrets. This week is about eliminating obvious red flags that take minutes to fix but leave terrible impressions. Assign one senior engineer to own the TDD prep as their primary focus.
Week 2: Testing sprint. Identify your top 10 most critical code paths (billing, auth, core business logic). Write integration tests for each. Set up coverage reporting in CI. Target 60% coverage on critical modules. If you have zero tests today, even getting to 40% on core paths is meaningful progress. Supplement with a handful of E2E tests covering your primary user journeys using Playwright or Cypress.
Week 3: Documentation and architecture. Create your architecture diagram. Write your deployment runbook. Generate API documentation. Write 5 ADRs covering your biggest technical decisions. Create a brief onboarding guide. This is a documentation sprint, and it is best assigned to your most senior engineers who understand the system holistically. Budget 3 full days of writing time.
Week 4: Security and infrastructure. Complete dependency updates for all high-severity findings. Implement access control improvements. Set up monitoring if missing (Sentry plus Datadog free tier gets you started). Ensure your CI pipeline runs tests, linting, and security scans on every PR. Verify your staging environment works and mirrors production. Test a database backup restore.
Week 5: Polish and dry run. Run the same automated tools reviewers will use against your codebase. Review the output as if you were the investor. Fix anything that looks bad. Have a team member who was not involved in the prep do a fresh clone and try to follow your setup documentation. Fix whatever breaks. Prepare a brief technical overview presentation for the reviewer kickoff meeting.
Week 6: Buffer and team prep. Brief your engineers on what to expect during interviews. Reviewers will ask individual contributors about development process, code review practices, and technical decisions. Prepare honest answers about known limitations and your roadmap to address them. Rehearse explaining your architecture decisions clearly and concisely. Confidence and transparency matter more than perfection.
Common Deal-Killers and How to Avoid Them
After participating in dozens of technical due diligence processes on both sides of the table, patterns emerge. Certain findings consistently cause investors to reduce valuations, add protective terms, or walk away entirely. Here are the deal-killers we see most often, ranked by severity.
Hardcoded secrets in version control. This is the number one deal-killer we encounter. AWS keys, database passwords, API tokens committed directly in code or config files. Even if they were removed in a later commit, they live forever in git history. The fix: scan with truffleHog, rotate everything found, move all secrets to environment variables or a secrets manager like AWS Secrets Manager or HashiCorp Vault. Prevention going forward: install pre-commit hooks that block secret commits using tools like detect-secrets.
No tests at all. Zero test coverage signals that the team either does not know how to test or does not value quality. Both are damning. Reviewers interpret this as: every feature shipped introduces unknown regression risk, refactoring is effectively impossible without manual QA, and the system's correctness relies entirely on individual developer carefulness. You need at least some tests covering critical paths. Even 30% coverage on core logic is infinitely better than 0%.
Single points of failure. One engineer who is the only person who can deploy. One server with no redundancy. One database with no backups. One service that, if it goes down, takes everything with it. These findings suggest the company is one bad day away from an existential crisis. Mitigate by documenting all processes, cross-training team members, and implementing basic redundancy on critical paths.
IP ownership gaps. Contractors who wrote core features without IP assignment agreements. Open source licenses (GPL, AGPL) used in proprietary products without understanding the implications. Code copied from previous employers. These are legal time bombs that can delay or kill a deal entirely. Have your attorney review contractor agreements and run a license audit using tools like FOSSA or license-checker.
Unmaintainable architecture. A system so tangled that adding simple features takes weeks. Circular dependencies between every module. A database schema with 200 columns per table and no indexes. While any individual code quality issue is survivable, a system where the architecture itself prevents forward progress at reasonable cost raises fundamental questions about whether the investment will produce returns or just fund a rewrite.
Lying about the findings. This might be the most important point. Reviewers are experienced engineers who have seen hundreds of codebases. They know what startup code looks like. They expect technical debt. What destroys trust instantly is discovering that the team misrepresented their technical state during diligence. If you have known issues, acknowledge them proactively with a clear remediation plan. Honesty combined with a credible plan is always better than concealment.
Preparing your codebase for technical due diligence is not about achieving perfection. It is about demonstrating that your team builds deliberately, understands its limitations, and has the discipline to maintain and improve the system over time. Investors are betting on your future execution, and the state of your codebase is the strongest evidence of how you will perform after the check clears.
